Structure Hub Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Structure Hub, including our website, platform, applications, APIs, documentation, and related services (collectively, the “Service”).

By accessing or using Structure Hub, you agree to these Terms. If you are using the Service on behalf of a company or other organization, you confirm that you have authority to bind that organization to these Terms.

1. About Structure Hub

Structure Hub is a cloud infrastructure visibility, architecture documentation, and governance platform designed to help teams map, understand, monitor, and document infrastructure, applications, dependencies, and related technical environments.

The Service may include features such as:

- Real-time infrastructure and application diagrams

- AI-generated documentation and insights

- Version control and change monitoring

- Cost estimation and resource visibility

- Governance, audit, and compliance support features

- Cloud, hybrid, on-premise, repository, and third-party integrations

## 2. Eligibility and Account Registration

To use Structure Hub, you must be legally able to enter into a binding agreement.

When creating an account, you agree to provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately if you suspect unauthorized access to your account or workspace.

3. Customer Workspaces and Users

Structure Hub may allow you to create or join workspaces, invite users, assign roles, and manage access permissions.

You are responsible for:

- Managing access to your workspace

- Assigning appropriate permissions to users

- Removing users who should no longer have access

- Ensuring that your users comply with these Terms

- Maintaining the confidentiality of workspace data and credentials

If you are an administrator of a workspace, you are responsible for the actions of users invited to that workspace.

4. Use of the Service

You agree to use Structure Hub only for lawful business and technical purposes and in accordance with these Terms.

You must not:

- Use the Service for illegal, harmful, or abusive activities

- Attempt to gain unauthorized access to systems, accounts, or data

- Interfere with or disrupt the security, availability, or performance of the Service

- Reverse engineer, copy, modify, or create derivative works of the Service unless expressly permitted

- Use the Service to transmit malicious code, malware, or harmful content

- Circumvent usage limits, access controls, or billing mechanisms

- Use the Service in a way that violates applicable laws or third-party rights

We may suspend or restrict access if we reasonably believe that your use of the Service creates a security, legal, operational, or reputational risk.

5. Deployment Models

Structure Hub may be provided through different deployment models, including:

- SaaS / MTD Cloud: hosted by Structure Hub or its providers in a shared cloud environment with customer-specific tenant separation.

- Enterprise Private Deployment: deployed in a private cloud, customer cloud, or on-premise environment.

- Co Create: a private or tailored deployment model that may include roadmap participation, custom integrations, custom features, and dedicated support.

Specific commercial terms, technical scope, service levels, responsibilities, and deployment details may be described in an order form, statement of work, agreement, or other written contract between you and Structure Hub.

6. Integrations and Customer Systems

Structure Hub may connect to cloud providers, repositories, infrastructure platforms, monitoring tools, identity providers, ticketing systems, and other third-party or internal systems.

You are responsible for:

- Ensuring you have the right to connect such systems to Structure Hub

- Configuring permissions according to least-privilege principles

- Reviewing and approving access scopes

- Maintaining security of credentials, tokens, keys, and secrets

- Ensuring that integration use complies with applicable third-party terms

Structure Hub is not responsible for third-party systems, outages, changes, or limitations outside our control.

7. Customer Data

“Customer Data” means data, content, configuration, metadata, diagrams, documentation, infrastructure information, repository information, logs, or other materials submitted to or processed by the Service on your behalf.

You retain ownership of your Customer Data. You grant Structure Hub a limited right to process Customer Data only as necessary to provide, secure, maintain, support, and improve the Service, and as otherwise permitted by your agreement with us.

You are responsible for the accuracy, legality, and quality of Customer Data provided to the Service.

8. Sensitive Information and Secrets

You must not intentionally submit sensitive secrets to the Service unless they are required for a supported integration and are handled through the designated secure configuration process.

Examples include:

- Passwords

- Private keys

- Access tokens

- Production secrets

- Encryption keys

- Highly sensitive personal data

Where credentials or tokens are required, you are responsible for configuring appropriate access levels and rotating or revoking credentials when necessary.

9. AI-Generated Content and Insights

Structure Hub may provide AI-generated documentation, explanations, recommendations, diagrams, analysis, or other insights.

AI-generated outputs may be incomplete, inaccurate, or require human validation. You are responsible for reviewing and approving AI-generated outputs before relying on them for operational, security, compliance, financial, or business decisions.

Structure Hub does not guarantee that AI-generated outputs will be error-free, complete, or suitable for a specific purpose.

10. Security

We implement reasonable technical and organizational measures designed to protect the Service and Customer Data.

However, no system is completely secure. You are responsible for maintaining appropriate security controls in your own systems, accounts, users, integrations, and environments.

You must promptly notify us of any actual or suspected security incident involving your account, workspace, integrations, or use of Structure Hub by contacting us at privacy@structurehub.io.

11. Fees, Billing, and Payment

Some parts of the Service may be provided under paid plans, subscription fees, usage-based fees, annual licenses, enterprise agreements, or custom commercial arrangements.

You agree to pay all fees described in the applicable pricing page, order form, agreement, or statement of work.

Unless otherwise stated:

- Fees are due according to the billing terms agreed with you

- Taxes, duties, and similar charges are your responsibility

- Payments are non-refundable except where required by law or expressly agreed in writing

- Failure to pay may result in suspension or termination of access

Pricing, plans, and features may change over time. Material changes will be communicated where required or appropriate.

12. Trials, Beta Features, and Preview Access

We may offer free trials, beta features, preview functionality, or early access capabilities.

These features may be unstable, incomplete, changed, or discontinued at any time. Beta or preview features are provided “as is” and may not be covered by support commitments unless expressly stated in writing.

13. Intellectual Property

Structure Hub, including its software, platform, interface, workflows, designs, documentation, trademarks, logos, and underlying technology, is owned by Structure Hub or its licensors.

Except for the limited right to use the Service under these Terms, no rights are transferred to you.

You must not remove proprietary notices, copy the Service, or use Structure Hub branding without permission.

14. Feedback

If you provide ideas, suggestions, requests, or feedback regarding Structure Hub, you grant us the right to use that feedback to improve, develop, and commercialize our services without restriction or compensation to you.

This does not transfer ownership of your Customer Data.

15. Confidentiality

Each party may receive confidential information from the other party. Confidential information must be used only for the purpose of providing or using the Service and must be protected with reasonable care.

Confidential information does not include information that is publicly available, independently developed, lawfully received from a third party, or already known without confidentiality obligations.

By using the Service, you acknowledge that personal data may be processed in accordance with our Privacy Policy and applicable agreements.

17. Service Availability and Changes

We aim to provide a reliable and high-quality Service, but we do not guarantee uninterrupted or error-free availability unless a separate service level agreement applies.

We may update, modify, suspend, or discontinue parts of the Service from time to time. We will make reasonable efforts to avoid unnecessary disruption and to communicate material changes when appropriate.

18. Support

Support availability depends on your plan or agreement.

- SaaS plans may include standard support during business hours.

- Enterprise plans may include dedicated support and service level commitments.

- Co Create plans may include priority support, dedicated success management, and roadmap reviews.

Specific support terms may be described in your order form, agreement, or statement of work.

19. Third-Party Services

The Service may integrate with or rely on third-party services, cloud providers, marketplaces, identity providers, AI providers, analytics tools, payment providers, or infrastructure platforms.

We are not responsible for third-party services, their content, security, policies, availability, or performance. Your use of third-party services may be subject to their own terms and policies.

20. Suspension and Termination

You may stop using the Service at any time. Paid subscriptions or agreements may remain subject to the applicable commercial terms.

We may suspend or terminate your access if:

- You breach these Terms

- You fail to pay applicable fees

- Your use creates security, legal, or operational risk

- We are required to do so by law

- Continued provision of the Service becomes impractical or unlawful

Upon termination, your right to use the Service ends. Certain sections of these Terms will continue to apply, including confidentiality, payment obligations, intellectual property, disclaimers, limitation of liability, and any other provisions that by their nature should survive.

21. Data Export and Deletion

Where technically available and subject to your plan, you may export certain Customer Data before termination.

After termination or expiry of your account, we may delete or anonymize Customer Data in accordance with our retention practices, Privacy Policy, and applicable agreements.

22. Disclaimers

The Service is provided on an “as is” and “as available” basis, except where expressly stated otherwise in a written agreement.

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

You are responsible for validating outputs, configurations, diagrams, documentation, AI-generated content, cost estimates, governance insights, and recommendations before relying on them.

23. Limitation of Liability

To the maximum extent permitted by law, Structure Hub will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, business opportunities, or business interruption.

To the maximum extent permitted by law, our total liability arising out of or relating to the Service will not exceed the amounts paid by you to Structure Hub for the Service in the twelve months preceding the event giving rise to the claim, unless otherwise agreed in writing.

24. Indemnification

You agree to defend, indemnify, and hold harmless Structure Hub from claims, damages, liabilities, losses, and expenses arising from:

- Your use of the Service in violation of these Terms

- Your Customer Data

- Your integrations, systems, or configurations

- Your violation of applicable law or third-party rights

- Use of the Service by users under your account or workspace

25. Governing Law and Dispute Resolution

These Terms are governed by the laws specified in the applicable agreement between you and Structure Hub.

If no separate agreement specifies governing law, these Terms will be governed by the laws of Romania, without regard to conflict of law principles.

The parties will first attempt to resolve disputes in good faith. If a dispute cannot be resolved informally, it will be submitted to the competent courts unless otherwise agreed in writing.

26. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or through another appropriate channel.

Your continued use of the Service after changes become effective means you accept the updated Terms.
